Terms of Business: BrokerFlow

1. Definitions and The Service
- The Provider: BrokerFlow (“we,” “us,” “our”).
- The Subscriber: The Mortgage Firm or sole trader brokerage entering into this agreement.
- The Service: Provision of the BrokerFlow dashboard, client upload portal, and AI-driven document analysis tools (utilizing Anthropic's Claude).
- Role: BrokerFlow is a Software Provider only. We do not provide mortgage, financial, or legal advice. The software is a productivity tool designed to assist professionals in data extraction.
2. Subscription and Fees
- Seat-Based Pricing: Access is granted on a per-user ("Per Broker") basis. Each broker within a firm requires an active individual subscription. Sharing login credentials between multiple individuals is strictly prohibited.
- Payment: All fees are processed via our third-party provider (Stripe). Subscriptions are billed in advance.
- VAT & Taxes: Fees are currently not subject to VAT as BrokerFlow is operating below the UK VAT registration threshold. We reserve the right to apply VAT to our fees in the future should our registration status change, in which case we will notify you and provide VAT-compliant invoices.
3. User Responsibilities & Verification
- The "Human-in-the-Loop" Requirement: You acknowledge that AI-generated data extractions are a "first pass" and are not a substitute for professional judgment. You agree that a qualified broker must manually verify all extracted data against the original documents before it is used for mortgage applications, advice, or lender submissions.
- Principal Oversight: Firm Principals have administrative access to all client data and documents processed by brokers registered under their firm. The Principal is responsible for managing internal access and auditing user activity.
4. Limitation of Liability
- AI Precision: While we strive for high precision, BrokerFlow does not guarantee 100% accuracy of document extractions.
- No Liability for Advice: BrokerFlow is not liable for any financial losses, regulatory fines, or lender rejections resulting from the use of data processed through the platform.
- Liability Cap: Our total liability for any claim arising under these terms is strictly limited to the total amount paid by the Subscriber for the service in the 12 months preceding the claim.
5. Refund and Cancellation Policy
- No Refunds: We operate a strictly no-refund policy for all subscription payments.
- Continued Access: Upon cancellation, you will retain full access to the platform and your data until the end of your current paid billing period. No further charges will be made following a valid cancellation.
6. Termination and Data Export
- 30-Day Export Window: Following the expiration of a subscription, we will maintain your records and documents for a period of 30 days to allow you to export your data.
- Permanent Deletion: After this 30-day window, all documents and records associated with the account will be permanently purged from our Supabase storage and cannot be recovered.
7. Intellectual Property & Data Privacy
- Ownership: BrokerFlow retains all rights to the software and proprietary analysis logic. You retain full ownership of all documents and client data uploaded.
- Zero-Training Guarantee: We confirm that client documents and extracted data are processed via private APIs and are never used to train or improve the underlying AI models.
- Data Residency: Data is stored on secure Supabase servers located within the European Union (EU), compliant with UK GDPR.
8. Governing Law
- These terms are governed by and construed in accordance with the laws of England and Wales.
